This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Paralegal, Capital Markets based in the United States. This role offers the opportunity to support sophisticated financing transactions within a fast-paced, technology-driven legal environment. You will work closely with attorneys, external counsel, and cross-functional business teams on structured finance and capital markets matters. Your work will contribute directly to the efficient execution and ongoing compliance of complex financial transactions. The position combines transaction management, corporate governance, legal operations, and process improvement responsibilities. You’ll manage critical documentation, trackers, closing deliverables, and contractual obligations with a high degree of precision. The role also provides an opportunity to leverage AI and modern technology to improve legal workflows and operational efficiency. It is well suited to a proactive, highly organized paralegal who enjoys solving problems, managing multiple priorities, and making a measurable business impact. Support attorneys with the preparation, review, organization, and execution of structured finance transactions, including securitizations, warehouse facilities, and forward-flow arrangements. Manage transaction checklists, closing deliverables, electronic transaction binders, and other documentation required to ensure smooth and timely closings. Prepare corporate governance materials, including resolutions, certificates, and related documentation for company entities. Support ongoing compliance with contractual, corporate, and regulatory requirements associated with financing transactions. Develop, maintain, and update trackers covering transaction terms, reporting obligations, covenants, and other legal requirements, including the use of AI-enabled tools to improve accuracy and efficiency. Partner with Finance, Treasury, Operations, Compliance, attorneys, and external counsel to coordinate legal requirements and ensure timely delivery of transaction-related work. Identify opportunities to streamline legal processes, introduce useful technology, and improve the efficiency and consistency of Capital Markets Legal operations. Conduct legal research, drafting, proofreading, document organization, and other paralegal activities as needed. Proactively identify potential issues, anticipate team needs, and help resolve transaction and operational challenges efficiently. Requirements Minimum 2 years of paralegal experience in a medium-to-large law firm, or 4 years of experience within an in-house corporate legal department. Experience in capital markets, structured finance, financial services, or a related area is preferred. Bachelor’s degree required; paralegal certification is preferred. Working knowledge of capital markets transactions and corporate governance processes. Strong organizational and project management skills, with the ability to manage multiple transactions, deadlines, and priorities simultaneously. Excellent research, drafting, proofreading, document-management, and attention-to-detail skills. Proficiency with project and knowledge-management technologies, with demonstrated ability to leverage AI tools to support legal workflows. Ability to work independently, anticipate requirements, take initiative, and resolve issues proactively. Strong communication and interpersonal skills, with the ability to collaborate effectively with attorneys, business stakeholders, and external partners. High level of professionalism, discretion, accuracy, and commitment to teamwork.
